Welcome to AlgorizeTech! These comprehensive terms and conditions govern your use of our website and the professional services we provide. By engaging with our platform, you agree to be bound by these terms.

1. General Provisions & Jurisdiction

These Terms are governed by the laws of Bangladesh. Any legal disputes arising from the use of our services shall be subject to the exclusive jurisdiction of the courts in Bangladesh. AlgorizeTech operates as a registered entity providing high-performance software engineering and strategic design.

2. Service Agreement & Execution

Proposal Acceptance: A project is considered active only after a written proposal is accepted and the initial deposit is confirmed.
AI-Accelerated Workflow: You acknowledge that AlgorizeTech utilizes AI-driven tools to enhance delivery speed. However, all critical logic and security layers are engineered and verified by human experts.
Client Cooperation: To maintain our Quick Turnaround promise, clients must provide necessary assets (API keys, branding, feedback) within 48-72 hours of a request.

3. Intellectual Property (IP) Rights

Ownership of Deliverables: Upon final payment, AlgorizeTech transfers full ownership of the custom source code and assets created specifically for your project.
Pre-existing Materials: AlgorizeTech retains ownership of any pre-existing code, internal AI frameworks, or proprietary libraries used to build your solution. We grant you a non-exclusive, perpetual license to use these embedded components.
Portfolio Rights: Unless a non-disclosure agreement (NDA) states otherwise, AlgorizeTech reserves the right to showcase the completed project in our portfolio and marketing materials.

4. Financial Terms

Pricing Models: We offer Fixed-Price, Time & Materials, and Subscription-based models.
Invoicing: Invoices are issued digitally and are payable within 7 business days.
Late Fees: Payments delayed beyond 14 days may incur a 5% monthly late fee to cover administrative overhead.
Taxation: Clients are responsible for any local withholding taxes or VAT applicable in their respective jurisdictions.

5. Warranty & Liability Limitations

Performance Warranty: We provide a 30-day "Stability Warranty" after launch, during which we fix any bugs related to our original code at no extra cost.
Third-Party Services: AlgorizeTech is not responsible for failures in third-party services (e.g., AWS, Google Cloud, payment gateways).
Liability Cap: To the maximum extent permitted by Bangladesh law, AlgorizeTech’s total liability for any claim shall not exceed the total amount paid by the client for the specific project in question.

6. Confidentiality & Non-Disclosure

Both parties agree to protect the "Confidential Information" of the other. This includes trade secrets, business strategies, and sensitive technical data. This obligation remains in effect for 3 years after the termination of the service agreement.

7. Termination of Services

Termination for Convenience: Either party may terminate the agreement with 30 days' written notice.
Termination for Cause: AlgorizeTech may suspend services immediately if the client engages in illegal activities or fails to make payments.
Post-Termination: Upon termination, the client shall pay for all work completed up to the termination date.

8. Force Majeure

AlgorizeTech shall not be liable for any failure to perform its obligations where such failure results from any cause beyond our reasonable control, including internet outages, natural disasters, or changes in government regulations.

9. Modifications to Terms

We reserve the right to revise these Terms at any time. Changes will be updated on this page with a new "Last Updated" date. Continued use of our services signifies your acceptance of the revised terms.
